1. Agreement to Terms

By accessing or using the Omni Links platform at omni-links.com (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Omni Links provides a link management platform that enables users to create branded short links, dynamic redirects, QR codes, bio link pages, and access real-time click analytics. The Service includes a web-based dashboard, REST API, and related documentation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete registration information.
Maintain and promptly update your account information.
Keep your password confidential and not share it with third parties.
Accept responsibility for all activity that occurs under your account.
Notify us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these terms or have been inactive for more than 12 consecutive months on free plans.

4. Acceptable Use

You agree not to use the Service to:

Create links that redirect to malware, phishing sites, or any content designed to deceive or harm users.
Distribute spam, unsolicited commercial messages, or fraudulent content.
Violate any applicable local, national, or international law or regulation.
Infringe on the intellectual property rights of any third party.
Attempt to gain unauthorised access to our systems, other user accounts, or related networks.
Interfere with or disrupt the integrity or performance of the Service.
Create links to content that promotes violence, hate speech, or illegal activities.

We reserve the right to disable any link, suspend any workspace, or terminate any account that we reasonably believe violates this acceptable use policy, without prior notice.

5. Subscription Plans and Payment

Omni Links offers free and paid subscription plans. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are quoted in US dollars and are non-refundable except as required by law.

Paid subscriptions are billed in advance on a monthly or annual basis depending on your selected billing cycle.
We may change our pricing with 30 days' notice. Price changes will not affect your current billing cycle.
If payment fails, we will attempt to charge your payment method for up to 14 days before suspending access to paid features.
You can cancel your subscription at any time. Access to paid features continues until the end of the current billing period.

6. Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is owned by Omni Links Inc. and is protected by international copyright, trademark, and other intellectual property laws. You retain ownership of all content you create using the Service, including your links, bio pages, and analytics data that you can export at any time.

You grant Omni Links a limited, non-exclusive, royalty-free licence to use, display, and process your content solely as necessary to provide and improve the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy. For enterprise customers who require a Data Processing Agreement (DPA), please contact our sales team.

8. Service Availability and SLA

We strive to maintain 99.99% uptime for the Service. However, we do not guarantee uninterrupted access and are not liable for any downtime, delays, or performance issues resulting from factors beyond our reasonable control, including internet outages, third-party provider failures, or force majeure events. Enterprise customers with custom SLAs are governed by the terms of their individual agreements.

9. Limitation of Liability

To the maximum extent permitted by law, Omni Links and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid to Omni Links in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Omni Links from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. You can close your account from your dashboard settings. We may terminate or suspend your access immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days after account closure to allow for reactivation, after which it will be permanently deleted.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Dublin, Ireland.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated terms on this page and, where possible, notifying you via email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
